Terms of Service

1. Definitions

• "DIMS-it" / "the Service" refers to the DIMS-it automated parcel dimensioning platform, including cloud software, station hardware, and associated APIs.
• "SJS" / "we" refers to Stirling Jones Solutions Ltd, the provider of DIMS-it.
• "Customer" / "you" refers to the organisation that subscribes to DIMS-it.
• "Station" refers to a DIMS-it measurement device deployed at your premises.
• "User" refers to an individual with login credentials to the DIMS-it platform.

2. Service overview

DIMS-it provides automated parcel dimensioning and weighing via depth-camera stations connected to a cloud platform. The service includes:

• Station hardware (purchased separately)
• Cloud dashboard and API access
• Carrier rate shopping and booking integrations
• ERP/WMS connector integrations
• Over-the-air software updates for stations

3. Subscription plans

DIMS-it is offered in three subscription tiers, billed monthly per station:

3.1 Standard (£149/month per station)

• Automated dimensioning, weighing, and barcode scanning
• Cloud dashboard with KPIs
• Carrier rate shopping, booking, and label generation
• ERP/WMS integrations (all connected platforms)
• REST API and webhooks
• CSV data export
• 90-day data retention
• 1 site, up to 3 users
• Email support (business hours)

3.2 Professional (£199/month per station)

• Everything in Standard, plus:
• 4K RGB image capture of every parcel
• Workflow automation engine
• Barcode routing rules
• Label template engine
• Full historical analytics
• 1-year data retention
• Unlimited sites and users
• Priority email support

3.3 Enterprise (custom pricing)

• Everything in Professional, plus:
• Custom data retention periods
• Dedicated account manager
• SLA guarantees
• Custom integrations
• On-site onboarding
• Volume discounts
• Priority phone support

We reserve the right to adjust pricing with 60 days' written notice. Existing subscriptions are honoured at their current rate until the end of the billing period following the notice.

4. Hardware purchase

4.1 Pricing

DIMS-it stations are sold at £1,800 per unit (plus VAT where applicable). This is a one-time purchase, separate from the monthly subscription.

4.2 What's included

Each station includes: 3D depth sensor, embedded controller, aluminium gantry frame, contrast mat, calibration cube, and all cabling. Optional accessories (precision platform scale) are available separately.

4.3 Warranty

Hardware is covered by a 12-month manufacturer warranty from the date of delivery. This covers defects in materials and workmanship under normal use. The warranty does not cover:

• Damage from misuse, negligence, or unauthorised modification
• Normal wear and tear
• Damage from power surges or environmental conditions outside specified tolerances
• Software issues (covered by the subscription support terms)

4.4 Returns

You may return hardware within 14 days of delivery for a full refund, provided it is in its original condition and packaging. After 14 days, returns are subject to a 15% restocking fee.

5. Billing and payment

• Hardware is invoiced on dispatch and due within 30 days.
• Subscriptions are billed monthly in advance. The first month is invoiced on the date the first station is provisioned.
• Payment is accepted via bank transfer, Direct Debit, or card payment.
• Invoices overdue by more than 14 days may result in service suspension. We will provide at least 7 days' notice before suspending access.
• All prices are exclusive of VAT unless stated otherwise.

6. Your obligations

As a customer, you agree to:

• Provide accurate registration and billing information
• Keep user credentials secure and not share accounts
• Use the service in compliance with applicable laws and regulations
• Not reverse-engineer, decompile, or attempt to extract the source code of the station software
• Not use the service to transmit malicious code or interfere with other customers' use
• Maintain the station hardware in accordance with setup documentation
• Ensure your network environment meets minimum requirements (internet connectivity, power supply)

7. Our obligations

We commit to:

• Providing the service with reasonable skill and care
• Maintaining reasonable uptime for the cloud platform (target: 99.5% excluding scheduled maintenance)
• Providing software updates and security patches via over-the-air updates
• Responding to support requests within 2 business days (Standard), 1 business day (Professional), or per your SLA (Enterprise)
• Notifying you of scheduled maintenance at least 48 hours in advance

8. Data ownership

• Your data: All measurement data, images, shipment records, and integration data generated through your use of DIMS-it belongs to you. We process it on your behalf to provide the service.
• Our platform: The DIMS-it software, algorithms, hardware designs, and documentation remain the intellectual property of Stirling Jones Solutions Ltd.
• Aggregated data: We may use anonymised, aggregated data (with no personally identifiable information or customer-identifiable measurement data) to improve the service and for benchmarking purposes.

9. Limitation of liability

• DIMS-it provides measurements as automated estimates. While we target accuracy of ±5mm, we do not guarantee absolute precision. You are responsible for validating measurements where regulatory compliance requires certified dimensioning equipment.
• We are not liable for losses arising from carrier rate quotes, shipping charges, or booking decisions made using DIMS-it data.
• Our total liability under this agreement shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, consequential, or incidental damages, including lost profits or business interruption.
• Nothing in these terms excludes or limits liability for death, personal injury, fraud, or any liability that cannot be excluded by law.

10. Cancellation and termination

• Monthly subscriptions: You may cancel at any time with 30 days' notice. Access continues until the end of the current billing period.
• Annual subscriptions: Billed annually in advance. Cancellation takes effect at the end of the annual term. No pro-rata refunds for mid-term cancellation.
• Data export: Upon cancellation, you have 30 days to export your data via the API or CSV export. After 30 days, data is permanently deleted in accordance with our retention policy.
• Hardware: Station hardware you have purchased remains yours. However, without an active subscription, the station will operate in offline mode only (no cloud sync, rate shopping, or integrations).
• Termination by us: We may terminate your subscription immediately if you breach these terms, fail to pay invoices after notice, or use the service in a manner that threatens the security or integrity of the platform.

11. Acceptable use

You may not use DIMS-it to:

• Process or transmit illegal content
• Attempt to gain unauthorised access to other customers' data or our infrastructure
• Overload the service with excessive automated requests beyond normal API usage
• Resell or sublicense DIMS-it to third parties without written agreement

12. Changes to terms

We may update these terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance. If you do not agree with changes, you may cancel your subscription.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
